These Terms of Service ("Terms", "Agreement") constitute a legally binding contract between you ("User", "Customer", "you") and Dokimore ("Company", "we", "us", "our"), governing your access to and use of the Dokimore platform, including all associated services, APIs, tools, documentation, and support ("Service").
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into this Agreement on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Acceptance of Terms
By creating an account, accessing, or using any part of the Dokimore platform, you expressly agree to be bound by these Terms of Service, our Privacy Policy, and any additional guidelines or policies referenced herein. If you do not agree to all of these Terms, you must not access or use the Service.
Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes. We will provide reasonable notice of material changes via email or in-platform notification at least thirty (30) days prior to the effective date.
You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, to use the Service. By using the Service, you represent and warrant that you meet this requirement. If you are under the applicable age, you may not create an account or use the Service.
These Terms apply to all users of the Service, including without limitation users who are browsers, testers, administrators, contributors, and any other persons who access or use the platform in any capacity. Where specific provisions apply only to certain subscription tiers, this will be expressly stated.
Description of Service
Dokimore is a cloud-based software-as-a-service (SaaS) platform that provides comprehensive quality assurance and test automation capabilities for web applications, APIs, and enterprise software systems. The platform includes twenty-six or more integrated tools and modules ("Tools"), which collectively constitute the Service.
The Service includes, but is not limited to, the following capabilities:
- Test Automation & Recording: Browser-based test recording, code generation across multiple frameworks (Playwright, Cypress, Selenium), test execution management, and smart test selection powered by AI-driven change analysis.
- API Testing Studio: Full-featured REST, GraphQL, and gRPC testing with request chaining, environment management, automated assertions, and mock server capabilities.
- Security Testing: OWASP Top 10 scanning, vulnerability assessment, penetration testing tools, DAST/SAST analysis, and compliance auditing across multiple regulatory frameworks.
- Performance & Load Testing: Load, stress, and scalability testing at enterprise scale with real-time metrics, baseline comparison, and threshold alerting.
- Accessibility Testing: WCAG 2.1 AA/AAA compliance auditing with automated remediation suggestions and continuous monitoring.
- Analytics, Reporting & Intelligence: Real-time dashboards, competitor comparison, website analysis, AI-powered document processing, data generation, and enterprise test data management.
- DevOps & CI/CD Integration: Pipeline integration, migration tools, credential management, and developer support utilities.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will use commercially reasonable efforts to provide at least thirty (30) days' advance notice for the discontinuation of any material feature or Tool. New features or Tools may be subject to additional terms and conditions.
Account Registration & Security
3.1 Registration Requirements. To access the Service, you must create an account by providing accurate, current, and complete registration information. You agree to update this information promptly to keep it accurate, current, and complete. Providing false or misleading registration information may result in immediate account termination.
3.2 Unique Credentials. Each account must be associated with a unique email address and password combination. You must not create multiple accounts for the purpose of circumventing usage limits, subscription tier restrictions, or any other platform policies. Each individual user must maintain their own separate account with unique credentials.
3.3 Password Security and Session Policy. You are solely responsible for maintaining the confidentiality of your account credentials. You must not share your password, API keys, or authentication tokens with any third party, including colleagues, contractors, or other employees within your organization.
3.4 Account Responsibility. You are fully responsible for all activity that occurs under your account, whether or not you have authorized such activity. This includes any actions taken by third parties who gain access to your account due to your failure to maintain the security of your credentials. You must notify us immediately through support@dokimore.com (subject “Security report”) or the security contact form upon becoming aware of any unauthorized use of your account or any other breach of security.
3.5 Account Recovery. We may require identity verification before granting access to a locked or compromised account. We are not liable for any loss or damage arising from your failure to comply with these account security obligations.
Subscription & Billing
4.1 Subscription Plans. The Service is offered under the following subscription tiers, each with defined feature sets and usage limits:
Current prices, regional currency sheets, and annual-billing discounts (20% off) are published on the pricing page, which reflects the enforced plan catalogue; in case of discrepancy between this summary and the pricing page, the pricing page governs.
4.2 Billing Cycles and Renewal. Subscriptions are billed monthly or annually, as selected at purchase. Seven (7) days before a paid term ends, we issue a renewal invoice for the same plan and billing cycle, at the price shown on our pricing page when the invoice is issued. Your subscription renews when that invoice is paid; nothing is charged automatically. If it is not paid by the end of the term, your paid features continue for a grace period of thirty (30) days, after which your account moves to the Free plan. Your data is kept, and paying the renewal invoice restores the plan. You may cancel at any time before the end of the term; a cancelled plan is not renewed.
4.3 Cancellation Policy. You may cancel your subscription at any time through your account settings or by contacting our support team. Upon cancellation, you will retain access to the Service until the end of your current paid billing period. No partial refunds will be issued for the remaining unused portion of a monthly billing cycle. For annual subscriptions, see Section 4.5.
4.4 Service Interruptions During Billing Cycle. In the event of unplanned service outages, degraded performance, partial feature unavailability, or other service disruptions occurring during a billing cycle, the affected period shall still count toward the applicable billing cycle.
4.5 Refund Policy. Refunds are handled according to the following terms:
- Enterprise plans (annual): Eligible for a pro-rated refund of the unused portion of the subscription term, less any custom-order charges already incurred, if cancellation is requested within the first sixty (60) days of the initial subscription or renewal term. After sixty (60) days, no refund is available.
- Monthly plans (Solo Pro, Team): No refunds are issued for partial months. Upon cancellation, access continues until the end of the current billing period.
- Usage limits: Plan quotas (recordings, API test calls, security scans, AI tokens, load-test virtual users) are hard limits, not metered billing — when a quota is reached, further usage is refused until the quota resets or the plan is upgraded. There are no automatic overage charges.
- Custom orders (à-la-carte features, additional seats, custom feature development): refund terms are governed by the individual written quote or agreement executed between you and Dokimore.
4.6 Payment Methods and Taxes. We currently accept payment by bank transfer against our invoice. We do not collect or store card details. If we add another payment method, it will be shown at checkout before you pay. All fees are stated exclusive of applicable taxes, which our invoice shows. You are responsible for all taxes, duties, and levies imposed by any governmental authority in connection with your use of the Service, except for taxes based on our net income.
4.7 Late Payment. An unpaid renewal invoice simply ends the paid plan as described in Section 4.2; no late fee applies to it. Other invoices (for example, under a written agreement for an assisted plan) not paid within fifteen (15) days of the due date may incur a late payment fee of 1.5% per month (or the maximum amount permitted by applicable law, whichever is less) on the outstanding balance, and we may suspend access to the Service for accounts with balances more than thirty (30) days past due.
4.8 Consumers — Right of Withdrawal. If you purchase as a consumer (not for business purposes) and the consumer-protection law of your country of residence gives you a right to withdraw from a distance contract — for example the fourteen (14) day period under EU and UK distance-selling rules — that right is not affected by these Terms. To withdraw, email us from your billing address quoting your order number within the statutory period; no particular form is required. Where you ask us to start the Service before that period ends (the checkbox at checkout), you may be asked to pay for the part of the period already used, as permitted by the applicable law, and the remainder is refunded. An order that is still unpaid can be withdrawn from My Plan at any time without charge.
4.9 International Purchases. We are established in India. Sales to customers outside India are exports of services: no Indian GST is charged, prices are invoiced in the currency shown at checkout, and any tax, duty or bank charge that applies in your country is not included in the price. Business customers who provide a valid tax registration number will have it printed on the invoice; whether a reverse-charge or self-assessment mechanism applies is determined by the law of your country.
Service Level Agreement (SLA)
5.1 Availability Commitment. We operate the Service with production-grade discipline — daily encrypted backups, weekly tested restore drills, health-gated deployments with automatic rollback — but we do not publish a numeric uptime percentage for self-serve plans: we have not yet accumulated the audited uptime history that would make such a number honest, and we would rather say that plainly than print a marketing SLA. For Enterprise agreements, a contractual availability commitment with defined remedies is negotiated per agreement.
5.2 Scheduled Maintenance. We perform scheduled maintenance during designated windows, typically between 02:00 and 06:00 UTC on Sundays. We will provide at least seventy-two (72) hours' advance notice for scheduled maintenance via email and in-platform notification. Scheduled maintenance windows are excluded from uptime calculations. Emergency maintenance required to address critical security vulnerabilities or system integrity issues may be performed with shorter notice.
5.3 Service Credit Claims (Enterprise agreements). Where an Enterprise agreement defines service credits, a written request must be submitted to support@dokimore.com within thirty (30) days of the incident, including: (a) the dates and times of the claimed downtime, (b) a description of the impact, and (c) any relevant log data or screenshots. Credits are applied per the applicable agreement and are not redeemable for cash. Self-serve plans do not carry service credits; your remedy is cancellation per Section 4.3.
5.4 Exclusions. The uptime commitment does not apply to: (a) scheduled maintenance windows, (b) force majeure events, (c) failures caused by your equipment, software, or network connections, (d) actions taken by us in response to your breach of these Terms, (e) outages of third-party services or infrastructure providers beyond our reasonable control, or (f) beta or preview features.
Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not, and shall not permit any third party to:
- Reverse engineer, decompile, or disassemble any portion of the Service, except to the limited extent that applicable law expressly prohibits such restriction notwithstanding a contractual obligation to the contrary.
- Scrape, crawl, or harvest data from the platform by automated means for any purpose other than your authorized use of the Service's intended features.
- Use the Service for competitive purposes, including but not limited to benchmarking the Service against competing products, developing a competing product or service, or reselling access to the platform without express written authorization.
- Conduct malicious testing against third-party websites, applications, or systems without obtaining explicit, documented authorization from the owner of those systems prior to testing. This includes vulnerability scanning, penetration testing, load testing, and any form of security assessment. Unauthorized testing against third-party infrastructure using our platform may expose you to civil and criminal liability and constitutes grounds for immediate account termination.
- Create automated or programmatic accounts, whether through scripts, bots, or other automated means, for any purpose including but not limited to circumventing rate limits, creating fictitious trial accounts, or generating spam.
- Exceed published rate limits or consume platform resources in a manner that materially degrades the experience for other users. Rate limits are documented in the API reference and vary by subscription tier. Persistent rate limit violations will result in temporary throttling and may lead to account suspension.
- Transmit malicious code, including viruses, worms, trojan horses, ransomware, or any other harmful computer code through or to the Service.
- Interfere with or disrupt the integrity or performance of the Service or the data contained therein, or attempt to gain unauthorized access to the Service, its related systems, or networks.
- Use the Service to store, transmit, or process data that you do not have the legal right to collect, use, or disclose, including personal data collected without proper consent.
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, at our sole discretion, without prior notice or refund.
Code of Conduct
Dokimore provides shared workspace features, team collaboration tools, and community resources. All users are expected to maintain professional and respectful conduct at all times. By using the Service, you agree to the following:
7.1 Professional Behavior. Interactions within shared workspaces, team environments, comments, annotations, and any communication facilitated by the platform must be conducted in a professional, courteous, and constructive manner. This applies to all forms of in-platform communication, including test case comments, bug reports, shared annotations, and team chat features.
7.2 Prohibited Conduct. The following behaviors are strictly prohibited and constitute grounds for disciplinary action:
- Harassment, intimidation, bullying, or threatening behavior directed at any user, Dokimore employee, or third party.
- Discrimination based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, age, disability, or any other protected characteristic under applicable law.
- Verbal or written abuse, including the use of offensive language, slurs, or derogatory comments within any platform communication channel.
- Deliberately tampering with, corrupting, or deleting another user's test data, test scripts, configurations, or environments without authorization.
- Accessing or attempting to access another user's test data, reports, or private workspace without proper authorization within the team hierarchy.
7.3 Respect for Shared Resources. In team and enterprise environments, users must respect shared resources including test environments, execution queues, and data stores. Monopolizing shared resources or intentionally degrading the performance of shared environments for other team members is prohibited.
7.4 Enforcement. Violations of this Code of Conduct will be investigated and addressed at our sole discretion. Consequences may include, but are not limited to: a written warning, temporary suspension of platform access (ranging from 24 hours to 30 days depending on severity), permanent termination of the offending account, and in severe cases, referral to law enforcement authorities. We are under no obligation to provide advance notice of enforcement actions taken in response to Code of Conduct violations.
Intellectual Property
8.1 Platform Intellectual Property. The Service, including all software, algorithms, user interface designs, graphics, trademarks, service marks, logos, documentation, APIs, and all other intellectual property embodied in or associated with the platform, is and shall remain the exclusive property of QA Automation and its licensors. These Terms do not convey to you any ownership interest in or to the Service, but only a limited, revocable right of use in accordance with these Terms.
8.2 User Content Ownership. You retain all right, title, and interest in and to the test scripts, test data, configurations, custom workflows, reports, and any other content that you create, upload, or generate using the Service ("User Content"). Dokimore does not claim any ownership rights in your User Content.
8.3 License Grant to Dokimore. By submitting User Content to the Service, you grant Dokimore a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, transmit, display, and reproduce your User Content solely as necessary to provide and operate the Service, perform backups, and comply with applicable law. This license terminates when you delete your User Content from the Service or upon termination of your account, except as required for backup retention or legal compliance.
8.4 License Grant to User. Subject to your compliance with these Terms and payment of all applicable fees, Dokimore grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service during the subscription term solely for your internal business purposes.
8.5 Feedback. If you provide suggestions, ideas, or feedback regarding the Service ("Feedback"), you hereby assign to Dokimore all right, title, and interest in such Feedback and agree that we are free to use, disclose, reproduce, license, and distribute such Feedback without obligation or restriction of any kind.
Data Protection & Privacy
9.1 Privacy Policy. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in our Privacy Policy.
9.2 Data Processing. To the extent that we process personal data on your behalf in connection with the Service, we act as a data processor (or service provider, as applicable) under the EU General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and other applicable data protection laws. Enterprise customers may request execution of a Data Processing Agreement (DPA) that further defines the parties' obligations regarding data processing activities.
9.3 Data Security. We implement and maintain appropriate technical and organizational security measures designed to protect User Content and personal data against unauthorized access, alteration, disclosure, or destruction. These include encryption of credentials, stored secrets and personal-data fields with AES-256-GCM, encrypted connections (TLS) for traffic to the Service, tenant isolation enforced by row-level security in our database, role-based access controls, and an append-only, hash-chained audit trail.
9.4 Data Location. User data is stored and processed in Mumbai, India. Enterprise customers may request a different data residency arrangement, such as deployment on their own infrastructure, under a separate agreement.
9.5 Data Breach Notification. In the event of a confirmed data breach affecting your personal data or User Content, we will notify you without undue delay and in no event later than seventy-two (72) hours after becoming aware of the breach, consistent with GDPR Article 33 requirements and applicable US state breach notification laws.
9.6 Compliance. We are committed to compliance with applicable data protection regulations, including but not limited to the GDPR, CCPA/CPRA, and any other applicable US state privacy laws. You are responsible for ensuring that your use of the Service complies with all applicable data protection laws in your jurisdiction, including obtaining necessary consents from data subjects whose information you process through the Service.
Limitation of Liability
10.1 Cap on Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF QA AUTOMATION AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO QA AUTOMATION DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10.2 Exclusion of Consequential Damages. IN NO EVENT SHALL QA AUTOMATION BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF QA AUTOMATION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS EXCLUSION APPLIES REGARDLESS OF WHETHER THE DAMAGES ARISE FROM: (A) USE OR INABILITY TO USE THE SERVICE; (B) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (C) THIRD-PARTY CONDUCT ON THE SERVICE; (D) ANY BUGS, VIRUSES, OR OTHER DEFECTS IN THE SERVICE; OR (E) ANY OTHER MATTER RELATING TO THE SERVICE.
10.3 Service Provided "As Is." THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS FOR TEST AUTOMATION AND QUALITY ASSURANCE PURPOSES. QA AUTOMATION EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.
10.4 Essential Basis of the Bargain. The limitations and exclusions in this Section reflect a reasonable and fair allocation of risk between the parties and form an essential basis of the bargain between you and Dokimore. QA Automation would not be able to provide the Service on an economically reasonable basis without these limitations.
10.5 Jurisdictional Limitations. Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be lawfully excluded or limited.
Indemnification
11.1 Your Indemnification Obligations. You agree to defend, indemnify, and hold harmless Dokimore, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:
- Your use of the Service in violation of these Terms.
- Your User Content or any data you process through the Service, including any claims that your User Content infringes or violates the intellectual property rights, privacy rights, or other rights of a third party.
- Your violation of any applicable law, regulation, or third-party rights in connection with your use of the Service.
- Any unauthorized testing, scanning, or security assessment of third-party systems conducted using the Service.
- Any misuse of your account credentials, whether by you or a third party who gained access due to your failure to maintain account security.
11.2 Indemnification Procedure. We will promptly notify you of any claim subject to indemnification and provide reasonable cooperation in the defense of such claim at your expense. You shall not settle any claim without our prior written consent, which shall not be unreasonably withheld. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such event, you agree to cooperate with our defense.
11.3 Our Indemnification (Enterprise Only). For Enterprise plan subscribers, Dokimore will defend and indemnify you against third-party claims alleging that the Service, as provided by us and used in accordance with these Terms, infringes a valid patent, copyright, or trademark of a third party. Our indemnification obligation is conditioned upon your prompt notification of the claim, granting us sole control of the defense, and providing reasonable cooperation. This obligation does not extend to claims arising from modifications you make to the Service, your User Content, or use of the Service in combination with products not provided by us.
Termination
12.1 Termination by You. You may cancel your subscription or close your account at any time from your plan page in the product, or by telling us through support@dokimore.com (subject “Billing”) or the billing contact form. A paid plan stays active until the end of the period you have already paid for and does not renew (Section 4.3). You can request deletion of your data from Profile → Privacy & data in your account.
12.2 Termination by Dokimore. We may terminate or suspend your account and access to the Service under the following circumstances:
- For convenience: With thirty (30) days' prior written notice to you, for any reason or no reason.
- For cause (immediate): Without prior notice, if you materially breach these Terms, including but not limited to violations of the Acceptable Use Policy (Section 6), Code of Conduct (Section 7), non-payment of fees, credential sharing (Section 3.3), or any activity that poses a threat to the security or integrity of the platform or other users.
- Legal compliance: If required by law, regulation, court order, or government directive.
12.3 Data Export and Retention. Following termination, you will have a period of thirty (30) calendar days to export your User Content from the platform using the built-in export tools or by requesting a data export from our support team. After the thirty (30) day export window, we will permanently delete your User Content from our active systems. Residual copies may remain in encrypted backup systems for up to ninety (90) additional days before being permanently purged, solely for disaster recovery purposes.
12.4 Survival. The following Sections shall survive termination of these Terms: Section 4 (to the extent of unpaid amounts), Section 8 (Intellectual Property), Section 10 (Limitation of Liability), Section 11 (Indemnification), Section 13 (Governing Law & Dispute Resolution), Section 15 (Severability), and any other provisions that by their nature should survive.
12.5 Effect of Termination. Upon termination, all licenses and rights granted to you under these Terms immediately cease. You must discontinue all use of the Service and destroy any copies of platform documentation in your possession. Termination does not relieve you of any obligation to pay fees incurred prior to the effective date of termination.
Governing Law & Dispute Resolution
13.1 Governing Law and Courts. These Terms and any dispute arising out of or relating to them or to the Service are governed by the laws of India. Subject to Sections 13.2 and 13.3, the courts at Mumbai, Maharashtra, India have exclusive jurisdiction.
13.2 Talk to Us First. If something goes wrong, tell us through support@dokimore.com (subject “Legal notice”) or the contact form. We will try in good faith to resolve it with you within thirty (30) days before either of us starts formal proceedings, except where urgent relief is needed to protect rights or confidential information.
13.3 Arbitration for Business Customers. If you use the Service for a business and a dispute is not resolved under Section 13.2, it will be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by agreement or, failing agreement, as that Act provides. The seat and venue of arbitration is Mumbai, India, and the language is English. Either party may still seek urgent interim relief from a competent court.
13.4 Consumers. If you are a consumer, nothing in these Terms takes away the protection of the mandatory consumer law of the country where you live, and you may bring proceedings in the courts of that country. Consumers in the EU, Norway and Iceland can find an out-of-court dispute resolution body through the European Commission's list at consumer-redress.ec.europa.eu.
Modifications to Terms
14.1 Right to Modify. Dokimore reserves the right to modify these Terms at any time at our sole discretion. When we make changes, we will update the "Last Updated" date at the top of this page and, for material changes, provide you with prominent notice through the Service interface, via email to the address associated with your account, or both.
14.2 Notice Period. For material changes that adversely affect your rights or obligations, we will provide at least thirty (30) days' advance notice before the changes take effect. Non-material changes (such as typographical corrections, formatting updates, or clarifications that do not substantively alter your rights) may take effect immediately upon posting.
14.3 Acceptance of Modified Terms. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service before the effective date of the changes and cancel your subscription in accordance with Section 12.1.
14.4 Enterprise Agreements. If you have entered into a separate enterprise agreement with Dokimore, changes to these Terms shall not override the provisions of your enterprise agreement. In the event of a conflict between these Terms and your enterprise agreement, the enterprise agreement shall control.
Severability & Entire Agreement
15.1 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
15.2 Entire Agreement. These Terms, together with the Privacy Policy, any applicable Data Processing Agreement, and any other policies or agreements expressly referenced herein, constitute the entire agreement between you and Dokimore regarding the Service and supersede all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral, relating to the subject matter hereof.
15.3 Waiver. The failure of Dokimore to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any provision shall be effective unless made in writing and signed by an authorized representative of Dokimore.
15.4 Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. Dokimore may freely assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets, without your consent. Any purported assignment in violation of this Section shall be null and void.
15.5 Force Majeure. Neither party shall be liable for any failure or delay in performing its obligations under these Terms (other than payment obligations) if such failure or delay results from circumstances beyond that party's reasonable control, including but not limited to natural disasters, pandemics, acts of terrorism, war, government actions, power outages, internet disruptions, or failures of third-party service providers.
15.6 Headings. Section headings in these Terms are for convenience of reference only and shall not affect the interpretation or construction of these Terms.
